Terms of Service

1. Service Provider

These Terms of Service (“Terms”) are entered into between you (“Client”) and MB "Mind Momentum", registration code 306656270, VAT code LT100016573916, registered at H. Manto g. 76, LT-92222 Klaipėda, Lithuania (“Mind Momentum,” “we,” “us”).

2. Acceptance of Terms

By accessing or using the Mind Momentum website, subscribing to any of our products, or engaging our consulting services (collectively, the “Services”), you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access or use our Services.

If you are a natural person acting in a professional capacity (e.g. a sole trader or individual entrepreneur), you acknowledge that you are entering into these Terms in your business capacity and that consumer protection provisions, including the 14-day withdrawal right, do not apply. If you believe you are entitled to consumer protections under Lithuanian law, please contact us before subscribing.

3. Services Description

Mind Momentum provides AI automation consulting, implementation, and software-as-a-service products for businesses. Our Services may include, but are not limited to:

• Workflow automation tools that perform actions on your behalf through third-party platforms using credentials you provide
• Data sourcing and lead generation tools that collect and deliver publicly available information
• Consulting services including workflow audits, automation builds, and ongoing optimization support

The specific scope of each product or engagement is defined in the applicable product description or a separate agreement.

4. Account Credentials and Third-Party Platforms

Certain Services require you to provide login credentials, session tokens, or API keys for third-party platforms. By providing these credentials, you:

• Explicitly authorize Mind Momentum to access and perform actions on the third-party platform on your behalf, within the scope described by the applicable product
• Confirm that you have the right to delegate such access and that you have reviewed the third-party platform's terms of service
• Retain full control and may revoke access at any time by notifying us or changing your credentials
• Accept responsibility for ensuring that your use of the third-party platform through our Services complies with the platform's terms of service

Mind Momentum stores and transmits your credentials using encryption at rest and in transit. We access your accounts only to the extent necessary to provide the Services.

5. Third-Party Platform Risks

Our Services interact with third-party platforms that are outside our control. By using our Services, you acknowledge and accept that:

• Third-party platforms may have their own terms of service that contain broad or ambiguous language regarding automated tools. While we position our tools as legitimate workflow automation, the platform operator may interpret their policies differently.
• There is a risk that a third-party platform may restrict, suspend, or terminate your account if they detect or object to automated activity.
• Mind Momentum does not guarantee uninterrupted access to any third-party platform and is not liable for any account restrictions, suspensions, bans, or loss of data, listings, or paid services imposed by a third-party platform.
• Mind Momentum implements reasonable technical measures (human-like pacing, conservative rate limits) to minimize platform friction, but cannot guarantee that these measures will prevent detection or enforcement actions.

6. Data Usage and Restrictions

Where our Services deliver data (such as leads, analytics, or reports):

• Data is licensed for your internal business use only.
• You shall not resell, redistribute, sublicense, publish, or share data with any third party, including competitors or unrelated businesses.
• Each subscription covers a single business entity. If your plan permits, data may be shared within your own organization only.
• Violation of these restrictions constitutes grounds for immediate service termination without refund.

Data sourced from third-party platforms is provided “as-is.” Mind Momentum does not guarantee the completeness, accuracy, or continued availability of any third-party data.

7. Your Responsibilities

You are solely responsible for:

• Ensuring that your use of data provided through the Services complies with all applicable laws, including the General Data Protection Regulation (EU) 2016/679 and Lithuanian e-privacy regulations
• The content of any messages, templates, or communications sent through our automation tools
• Obtaining any required consent before contacting individuals using data or messaging tools provided through the Services
• Maintaining the security of credentials you provide to us and notifying us promptly if credentials are compromised
• Reviewing and complying with the terms of service of any third-party platform you authorize us to access

8. Payments and Subscriptions

Paid Services are billed through Stripe on a recurring basis as described in the applicable product or pricing page. All prices are quoted exclusive of VAT (PVM) unless stated otherwise. VAT at the applicable rate (currently 21%) will be added to all invoices. By subscribing, you authorize recurring charges to your payment method.

• A valid VAT invoice (PVM sąskaita faktūra) will be issued for each payment.
• Prices may change with at least 30 days' notice. Continued use after a price change constitutes acceptance.
• You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
• Refunds are not provided for partial billing periods or unused service time.

9. Intellectual Property

All content on this website, including text, graphics, logos, images, and software, is the property of Mind Momentum and is protected by copyright and other intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

Any custom automation solutions developed for clients remain the intellectual property of the client, subject to any proprietary frameworks or tools developed by Mind Momentum.

10. Indemnification

You agree to indemnify and hold Mind Momentum harmless from any claims, losses, damages, liabilities, or expenses (including reasonable legal fees) arising from:

• A third-party platform's response to automated activity on your account, including account suspension, loss of data, listings, or paid services
• Your violation of any third-party platform's terms of service
• Your use of data provided through the Services in violation of applicable laws, including GDPR and e-privacy regulations
• Any content or communications you create or send through our tools

11. Limitation of Liability

To the maximum extent permitted by the laws of the Republic of Lithuania, Mind Momentum shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our Services, including but not limited to loss of profits, data, business opportunities, or third-party account access. Our total aggregate liability for any claims arising from or related to the Services shall not exceed the total amount paid by you to Mind Momentum in the twelve (12) months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; (c) intentional misconduct (tyčia) or gross negligence (didelis neatsargumas); or (d) any other liability that cannot be excluded or limited under Lithuanian law.

12. Termination

Either party may terminate the Services at any time. Mind Momentum reserves the right to suspend or terminate your access immediately if you materially breach these Terms. If your access to a third-party platform is restricted due to automated activity, we will pause the affected Service. You may cancel your subscription, but no refund is provided for the current billing period.

Upon termination, we will delete your stored credentials within 30 days and cease all automated activity on your behalf. Sections 6, 7, 10, 11, and 13 survive termination.

13. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the Republic of Lithuania. Any disputes arising under these Terms shall be resolved first through good-faith negotiation. If negotiation fails, disputes shall be subject to the exclusive jurisdiction of the courts of the Republic of Lithuania.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated to active subscribers via email at least 30 days before taking effect. Changes will also be posted on this page with an updated revision date. Your continued use of our Services after any changes indicates your acceptance of the updated Terms.
